History of GAZ-SYSTEM

Gas Transmission Operator GAZ-SYSTEM S.A. was established on 16 April 2004, originally as PGNiG – Przesył Sp. z o.o. At that time, 100% of the shares in the company were taken up by Polish Oil and Gas Company (PGNiG). From that moment, GAZ-SYSTEM S.A. took over the supervision and responsibility for the transportation of natural gas through strategic gas pipelines in Poland. On 28 April 2005, PGNiG transferred all shares in GAZ-SYSTEM S.A. to the State Treasury.

The unbundling of the gas transmission activity was driven by the provisions of the Gas Directive adopted in 2003 by the Council and the European Parliament, which obliged gas undertakings to separate the technical transmission of gas from trade and supply, and to enable other undertakings to use the transmission network on equal terms (TPA principle - Third Party Access). As a result of this process, GAZ-SYSTEM became one of the first European companies to provide, in accordance with European directives, real independence in the transmission area.

On 8 June 2005, the General Meeting decided to change the name of the company from PGNiG - Przesył Sp. z o.o. to Operator Gazociągów Przesyłowych GAZ-SYSTEM Sp. z o.o.

Starting from December 2008, GAZ-SYSTEM controlled Polskie LNG S.A., a company established to build and operate an LNG terminal.
On 21 October 2020, GAZ-SYSTEM and Polskie LNG S.A. signed an agreement on the planned merger of the two companies. A strong single business entity that will emerge from the consolidation which took effect on 1 April 2021 will develop and manage both the transmission infrastructure and LNG assets in Poland. This process was implemented in accordance with Article 492(1) of the Commercial Companies Code by way of transferring all assets of Polskie LNG to GAZ-SYSTEM.
