First call to submit share certificates

Operator Gazociągów Przesyłowych GAZ-SYSTEM Spółka Akcyjna, a company with its registered office in Warsaw at: ul. Mszczonowska 4, 02-337 Warsaw, entered in the register of entrepreneurs kept by the District Court for the Capital City of Warsaw in Warsaw, 12th Business Division of the National Court Register, under no. KRS 0000264771, with fully paid-in share capital of PLN 3,771,990,842, pursuant to Article 16(1) of the Act of 30 August 2019 amending the “Code of Commercial Companies” act and certain other acts (Journal of Laws of 2020, item 288, 875 and 1086), hereby calls its sole shareholder – the State Treasury, represented by the Government Plenipotentiary for Strategic Energy Infrastructure, to submit share certificates to the Company.

This call is the first of five calls, as required under the above mentioned act.

Merger of companies

The companies Gas Transmission Operator GAZ-SYSTEM S.A. and Polskie LNG S.A. with its seat in Świnoujście, at ul. Ku Morzu 1, 72-602 Świnoujście, in which GAZ-SYSTEM held 100% of shares, entered into a merger on 31 March 2021, pursuant to Article 492 § 1 item 1 of the Commercial Companies Code 15 September 2000 (hereinafter "CCC"; for consolidated text see Dz.U.2020.1526, as amended), where GAZ-SYSTEM and Polskie LNG were, respectively, the acquiring company and the acquired company.

As a result of the merger, in accordance with Article 494 § 1 CCC, as of the date of the merger, the acquiring company (GAZ-SYSTEM) assumed all rights and obligations of the acquired company (Polskie LNG), including those arising from all the contracts executed by Polskie LNG with other parties.
Current projects and activities of Polskie LNG will be continued by GAZ-SYSTEM as the legal successor of the company on a going concern basis, both organisationally and legally, including full security of all its liabilities.
